Notice regarding a change in transfer date of Ricoh Industrial Solutions optical business

TOKYO, June 12, 2024 – Ricoh Company, Ltd. (President and CEO: Akira Oyama) announced a change the transfer date of the optical business of Ricoh Industrial Solutions Co., Ltd. (President and CEO: Hiroshi Takemoto) to T Capital Partners Co., Ltd. (President and CEO: Koji Sasaki). This update follows the “Notice regarding transfer of Ricoh Industrial Solutions optical business” issued on October 6, 2023. The details of the change are outlined below.

1. Content of the Change

2. Reason for the Change

After concluding the share transfer agreement with T Capital Partners, Ricoh has been preparing for the share transfer execution. However, the procedure work for execution has been requiring longer time than initially anticipated.

3. Future Outlook

The optical business of Ricoh Industrial Solutions Co., Ltd. will be transferred to OPTOWL Co., Ltd. (President: Hiroshi Takemoto), which changed its trade name from Ricoh Elemex AT Corporation (President: Mutsuhiro Sugiyama) on January 31, 2024. This transfer will occur through an absorption-type company split on June 30, 2024.

The impact of the change in the date of the absorption-type company split and the share transfer on our business performance for the fiscal year ending March 2025 is minimal.
